AUDIT COMMITTEE

The committee is made up of Colin Davies and Steve Driver and will determine the application of financial reporting and internal control principles, including reviewing the effectiveness of the Group's financial reporting, internal control and risk management procedures and the scope, quality and results of the external audit.

The audit committee will be chaired by Colin Davies and Damien McDonald may be invited to attend.

REMUNERATION COMMITTEE

The principal function of this committee is to determine the policy on Executive appointments and remuneration. The committee consists of W Alan McClue and Steve Driver. It is the aim of the committee to attract, retain and motivate high calibre individuals with a competitive remuneration package.

The remuneration committee will be chaired by W Alan McClue and Dave Webster may be invited to attend.

It will review the performance of the executive directors and will set their remuneration, determine the payment of bonuses to executive directors and consider bonus and option schemes. Each executive director will take no part in the discussions concerning their remuneration. The remuneration of the non-executive directors will be reviewed by the Board.
